Terms of Service

These Terms of Service ("Terms") govern your access to and use of the FieldPlan PM software platform, website, applications, and related services (collectively, the "Service") provided by FieldPlan PM LLC, a California limited liability company ("FieldPlan," "we," "us," or "our").

By creating an account, accessing, or using the Service, you ("you," "your," or "Customer") agree to be bound by these Terms. If you are using the Service on behalf of a company or other organization, you represent and warrant that you have authority to bind that organization to these Terms, and "you" and "Customer" will refer to that organization.

If you do not agree to these Terms, do not create an account or use the Service.

1. The Service

FieldPlan provides cloud-based software designed to assist construction and other project teams with project management, task management, documentation, communication, scheduling, reporting, and related business processes.

The specific features and functionality available to you depend on the subscription plan or service configuration associated with your account.

We may add, modify, improve, suspend, or discontinue features of the Service from time to time. We will not materially reduce the core functionality of a paid subscription during a subscription term without reasonable notice, except where changes are necessary for security, legal, regulatory, or technical reasons.

The Service is provided as a software platform and is not a construction, engineering, architectural, legal, accounting, safety, or other professional service.

2. Eligibility and Accounts

You must be at least 18 years old to create an account or use the Service.

You are responsible for:

You must promptly notify us if you believe your account credentials have been compromised or that unauthorized access to your account has occurred.

We may require additional information to verify an account or prevent fraud, abuse, or unauthorized access.

3. Organizational Accounts and Authorized Users

If you create an account on behalf of a company, contractor, project owner, organization, or other entity, that entity is the Customer.

The Customer may authorize employees, contractors, consultants, subcontractors, or other individuals to access the Service ("Authorized Users") subject to the applicable subscription limits.

The Customer is responsible for:

  1. determining which individuals may access its account;
  2. assigning appropriate permissions and access levels;
  3. ensuring that Authorized Users comply with these Terms;
  4. maintaining appropriate security practices; and
  5. all activity performed through its account.

Customer is responsible for obtaining any permissions or authorizations necessary to upload or process information belonging to its employees, clients, subcontractors, vendors, or other third parties.

4. Subscriptions and Fees

Certain features of the Service may require payment of subscription fees.

Subscription prices, billing intervals, usage limits, and included features will be presented to you at the time of purchase or within your account.

Unless otherwise stated:

We may change subscription pricing with at least 30 days' advance notice by email or in-app notice. Price changes take effect at your next renewal and do not apply to a subscription term you have already paid for.

If payment is not received when due, we may suspend access to paid features after providing at least 5 days' notice and a reasonable opportunity to cure.

Taxes, including applicable sales, use, or similar taxes, may be added to subscription fees where required by law. You are responsible for applicable taxes other than taxes imposed on our net income.

5. Free Trials and Promotional Access

We may offer free trials, promotional accounts, credits, or other limited access to the Service.

Unless otherwise stated when the offer is presented:

If a free trial automatically converts to a paid subscription, the applicable conversion terms will be disclosed before or during signup.

6. Customer Data

"Customer Data" means information, documents, files, photographs, project records, schedules, tasks, communications, notes, reports, contact information, and other content submitted, uploaded, entered, or transmitted to the Service by or on behalf of Customer.

As between FieldPlan and Customer, Customer retains ownership of Customer Data.

Customer grants FieldPlan a limited, non-exclusive, worldwide license to host, store, reproduce, transmit, modify as technically necessary, and otherwise process Customer Data solely as reasonably necessary to:

We do not acquire ownership of Customer Data merely because you use the Service.

Customer is responsible for ensuring that Customer Data does not violate applicable law or the rights of any third party.

7. Customer Responsibility for Project Information

FieldPlan is a software tool for organizing and managing information. Customer remains responsible for the accuracy, completeness, and appropriateness of information entered into or relied upon through the Service.

FieldPlan does not independently verify the accuracy of:

You are responsible for reviewing information before relying on it for construction, financial, contractual, safety, scheduling, or other decisions.

8. Professional and Construction Disclaimer

The Service does not provide professional construction, engineering, architecture, legal, accounting, insurance, safety, or other professional advice.

FieldPlan does not replace the judgment or responsibilities of appropriately licensed or qualified professionals.

Nothing in the Service should be interpreted as:

Customer remains solely responsible for obtaining appropriate professional review where required.

9. Third-Party Services and Integrations

The Service may integrate with or provide access to third-party services, applications, payment processors, cloud-storage providers, communication platforms, APIs, or other third-party systems ("Third-Party Services").

Your use of Third-Party Services may be subject to the third party's separate terms and privacy policies.

FieldPlan is not responsible for the availability, functionality, security, or performance of Third-Party Services that are outside our reasonable control.

If Customer enables an integration, Customer authorizes FieldPlan to exchange information with the applicable Third-Party Service as reasonably necessary to provide the integration.

Third-party services may change or discontinue functionality without our control.

10. Acceptable Use

You may use the Service only for lawful business purposes and in accordance with these Terms.

You agree not to:

  1. use the Service for unlawful, fraudulent, or abusive purposes;
  2. interfere with or disrupt the operation of the Service;
  3. attempt to gain unauthorized access to the Service or another customer's account;
  4. circumvent authentication, security, access controls, or usage limitations;
  5. reverse engineer, decompile, disassemble, or attempt to derive source code from the Service except where expressly permitted by applicable law;
  6. copy, reproduce, resell, lease, sublicense, or commercially exploit the Service except as expressly authorized;
  7. use automated means to access the Service in a manner that places unreasonable load on our systems;
  8. introduce malware, viruses, malicious code, or other harmful material;
  9. use the Service to infringe another person's intellectual-property, privacy, or other legal rights;
  10. attempt to probe, scan, or test the vulnerability of the Service without our written authorization;
  11. use the Service to develop or operate a substantially competing service using our proprietary software, interfaces, or confidential information; or
  12. permit access to the Service in excess of the subscription or user limits applicable to your account.

We may investigate suspected violations and take reasonable measures to protect the Service and its users.

11. Intellectual Property

The Service, including its software, source code, object code, interfaces, design, trademarks, logos, documentation, visual elements, and underlying technology, is owned by or licensed to FieldPlan and is protected by applicable intellectual-property laws.

Except for the limited right to use the Service during an applicable subscription term, no ownership rights are transferred to Customer.

Subject to these Terms, FieldPlan grants Customer a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service for Customer's internal business purposes during the applicable subscription period.

Customer may not remove proprietary notices or branding from the Service except where expressly permitted.

12. Feedback

If you provide suggestions, recommendations, ideas, bug reports, feature requests, or other feedback regarding the Service ("Feedback"), you grant FieldPlan the right to use and incorporate that Feedback without restriction or compensation to you.

Feedback does not include Customer Data.

13. Service Availability

We will use commercially reasonable efforts to keep the Service available.

However, the Service may occasionally be unavailable because of:

Unless expressly provided in a separate Service Level Agreement ("SLA"), FieldPlan does not guarantee uninterrupted or error-free operation of the Service.

14. Backups and Data Loss

We may maintain backups of Customer Data as part of our ordinary operations.

Backups are intended to support service reliability and disaster recovery and do not constitute a guarantee that every item of Customer Data can be recovered following every failure or incident.

Customer should maintain independent copies of critical project records, documents, and information.

FieldPlan is not responsible for loss of Customer Data caused by Customer's deletion, modification, misuse, unauthorized access, or failure to maintain appropriate independent copies, except to the extent caused by FieldPlan's violation of these Terms or applicable law.

15. Security

We use reasonable administrative, technical, and organizational measures designed to protect the Service and Customer Data from unauthorized access, alteration, disclosure, or destruction.

However, no internet-based service can be guaranteed to be completely secure.

Customer is responsible for maintaining appropriate security practices for its own accounts, devices, credentials, Authorized Users, and Customer Data.

16. Confidentiality

Each party may receive confidential information belonging to the other party in connection with the Service.

The receiving party will use reasonable care to protect confidential information and will use it only for purposes related to the business relationship.

Confidential information does not include information that:

A party may disclose confidential information when required by law, provided that, where legally permitted, it gives the other party reasonable notice.

Customer Data will be treated as Customer's confidential information.

17. Privacy

Our collection and use of personal information is described in our Privacy Policy.

By using the Service, you acknowledge that you have reviewed the applicable Privacy Policy.

Where Customer uses the Service to process personal information belonging to its employees, customers, subcontractors, or other individuals, Customer is responsible for determining whether additional contractual or legal requirements apply.

If required, the parties may enter into a separate Data Processing Agreement ("DPA").

18. Suspension

We may temporarily suspend an account or access to portions of the Service, with notice where practicable, if we reasonably believe:

Where reasonably possible, we will limit a suspension to the affected account, feature, or Authorized User rather than the Service as a whole, and will restore access promptly once the underlying issue is resolved.

19. Termination

Customer may terminate its account at any time by canceling its subscription through the Service or by written notice to FieldPlan; cancellation takes effect at the end of the then-current billing period, and fees already paid are non-refundable except as stated in Section 4.

FieldPlan may terminate or suspend Customer's account for convenience on at least 30 days' written notice, or immediately if Customer materially breaches these Terms (including nonpayment not cured within the period described in Section 4) and does not cure that breach within 10 days of notice, or where immediate termination is reasonably necessary to comply with law or to prevent harm to the Service, FieldPlan, or other customers.

Upon termination, Customer's right to access the Service ends. Sections of these Terms that by their nature should survive termination — including Customer Data ownership, Feedback, Intellectual Property, Confidentiality, the disclaimers and limitations in Sections 20-22, and Governing Law — will survive.

FieldPlan will make Customer Data available for export for 30 days following termination, except where the account was terminated for a violation of Section 10 (Acceptable Use) involving unlawful content or activity.

20. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIELDPLAN DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. FIELDPLAN DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE, OR THAT ANY DATA, CALCULATION, REPORT, OR OTHER OUTPUT OF THE SERVICE WILL BE ACCURATE OR COMPLETE. NOTHING IN THIS SECTION LIMITS FIELDPLAN'S OBLIGATIONS THAT CANNOT BE DISCLAIMED UNDER APPLICABLE LAW.

21. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

EXCEPT FOR (A) A PARTY'S INDEMNIFICATION OBLIGATIONS UNDER SECTION 22, (B) CUSTOMER'S PAYMENT OBLIGATIONS UNDER SECTION 4, OR (C) A PARTY'S GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR BREACH OF SECTION 16 (CONFIDENTIALITY), EACH PARTY'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE FEES PAID OR PAYABLE BY CUSTOMER TO FIELDPLAN IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to Customer.

22. Indemnification

Customer will indemnify, defend, and hold harmless FieldPlan and its officers, employees, and agents from third-party claims, damages, and reasonable expenses (including attorneys' fees) arising out of: (a) Customer Data or Customer's use of the Service in violation of these Terms or applicable law; (b) Customer's or an Authorized User's violation of a third party's rights; or (c) any project, construction, safety, contractual, or business decision made in reliance on information in the Service, except to the extent caused by FieldPlan's breach of these Terms.

FieldPlan will indemnify, defend, and hold harmless Customer from third-party claims that the Service, as provided by FieldPlan and used in accordance with these Terms, infringes that third party's U.S. intellectual-property rights, except to the extent the claim arises from Customer Data, a Third-Party Service, or Customer's modification or misuse of the Service.

The indemnified party will give the indemnifying party prompt written notice of the claim, allow the indemnifying party to control the defense and settlement, and provide reasonable cooperation, at the indemnifying party's expense.

23. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles.

The parties will first attempt in good faith to resolve any dispute arising out of these Terms through informal negotiation between authorized representatives. If a dispute is not resolved within 30 days, it will be brought exclusively in the state or federal courts located in California, and each party consents to personal jurisdiction and venue there.

24. Changes to These Terms

We may update these Terms from time to time. If we make a material change, we will provide at least 30 days' notice by email or in-app notice before the change takes effect. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms; if Customer does not agree to a material change, Customer's sole remedy is to stop using the Service and cancel its subscription before the change takes effect.

25. Assignment

Customer may not assign or transfer these Terms, in whole or in part, without FieldPlan's prior written consent, except to a successor in connection with a merger, acquisition, or sale of substantially all of Customer's assets. FieldPlan may assign these Terms in connection with a merger, acquisition, reorganization, or sale of substantially all of its assets.

26. Notices

FieldPlan may provide notices to Customer by email to the address associated with Customer's account, or by posting within the Service. Customer must send legal notices to FieldPlan in writing to the address in Section 28. Notices are deemed received one business day after sending by email, or three business days after sending by mail.

27. General Provisions

These Terms, together with any applicable order form, DPA, or SLA, are the entire agreement between the parties regarding the Service and supersede any prior agreements on that subject. If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable. A party's failure to enforce a provision is not a waiver of its right to do so later. Neither party is liable for delay or failure to perform (other than payment obligations) caused by circumstances beyond its reasonable control. There are no third-party beneficiaries to these Terms.

Privacy Policy

This Privacy Policy describes how FieldPlan PM LLC, a California limited liability company ("FieldPlan," "we," "us," or "our"), collects, uses, and shares information in connection with the FieldPlan PM software platform (the "Service"). This Policy supplements our Terms of Service and uses the same defined terms ("Customer," "Authorized Users," "Customer Data") where applicable.

FieldPlan is a business-to-business tool: most information in the Service is submitted by a Customer (a construction company) about its own business, employees, and projects, not collected by us directly from the general public.

1. Information We Collect

Account & contact information. Name, email, phone, job title, and company details you or your organization provide when creating an account, onboarding, or contacting support.

Customer Data. Project records, schedules, tasks, documents, directory/contact entries, notes, and other business content that Customer or its Authorized Users enter into the Service. This can include personal information about Customer's own employees, subcontractors, clients, and vendors — Customer controls what it submits and is responsible for having the right to submit it.

Payment information. Subscription billing is handled by Stripe. We do not store full payment card numbers ourselves — Stripe processes and stores that information under its own privacy policy.

Automatically collected information. When you use the Service, we (and our infrastructure providers) automatically log technical information such as IP address, browser/device type, pages visited, and timestamps — used for security, troubleshooting, and abuse prevention (for example, rate-limiting abusive requests and, for the Client Onboarding e-signature flow specifically, recording the IP address, browser, and timestamp of the signing action as part of the consent record).

Cookies. The Service uses only the cookies necessary to keep you signed in (session/authentication cookies set by our authentication provider, Supabase). We do not use advertising or cross-site tracking cookies, and the Service does not currently run any analytics or ad-tracking scripts.

2. How We Use Information

We do not use Customer Data to train third-party AI models, and we do not sell personal information.

3. How We Share Information

We do not sell personal information. We share information only as described here:

Service providers (sub-processors). We use the following third-party providers to operate the Service, each of which processes information only as necessary to provide their function to us:

Legal and safety. We may disclose information if required by law, subpoena, or other legal process, or when we believe in good faith it is necessary to protect the rights, property, or safety of FieldPlan, our customers, or others.

Business transfers. If FieldPlan is involved in a merger, acquisition, or sale of assets, information may be transferred as part of that transaction, subject to this Policy or a successor policy.

With your direction. Where a Customer configures a Third-Party Service integration, information is shared with that integration as described in our Terms of Service.

4. Data Retention

We retain information for as long as the associated account is active, plus a reasonable period afterward to allow for export, comply with legal or accounting obligations, and resolve disputes. Following account termination, Customer Data is available for export for the period described in our Terms of Service, after which it may be deleted from our active systems. Backups may persist for a limited additional period before being cycled out in the ordinary course.

5. Security

We use reasonable administrative, technical, and organizational measures designed to protect information from unauthorized access, alteration, disclosure, or destruction, including access controls, encryption in transit, and database-level access restrictions. No method of transmission or storage is 100% secure, and we cannot guarantee absolute security.

6. Your Choices and Rights

You may request access to, correction of, or deletion of your personal information by contacting us at the email below. If you are an Authorized User of a Customer account, some requests may need to be directed to or confirmed by that Customer, since they control the underlying account.

California residents. Depending on the information involved, you may have rights under the California Consumer Privacy Act (CCPA) to know what personal information we hold about you, request its deletion, request correction of inaccurate information, and not be discriminated against for exercising these rights. We do not sell personal information, so there is no sale to opt out of. To exercise these rights, contact us using the information in Section 9.

7. Children's Privacy

The Service is intended for business use by adults and is not directed to children. We do not knowingly collect personal information from anyone under 18.

8. International Users

The Service is hosted in the United States. If you access the Service from outside the United States, you understand that your information will be transferred to, stored, and processed in the United States, which may have different data protection laws than your country.

9. Changes to This Policy

We may update this Policy from time to time. If we make a material change, we will provide notice by email or in-app notice before the change takes effect, consistent with our Terms of Service.
